1. Acceptance of Terms
By accessing or using the Stericare Pty Ltd website (stericarepty.site) or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use our services or website. We reserve the right to update these Terms at any time, and continued use of the site following changes constitutes acceptance of the revised Terms.
2. Services Description
Stericare Pty Ltd provides the following professional services:
- Sterilisation services for medical and dental equipment
- Infection control consulting and risk assessment
- Medical equipment reprocessing and decontamination
- Hygiene compliance audits, policy development, and staff training
- Facility decontamination and environmental services
All services are delivered in accordance with Australian healthcare standards and regulatory requirements. Service descriptions, scope, and timelines are confirmed in writing prior to commencement of each engagement.
3. Client Obligations
Clients agree to:
- Provide accurate and complete information necessary for service delivery
- Make equipment and facilities reasonably available as scheduled
- Notify us of any changes to requirements, timelines, or site conditions
- Comply with reasonable safety instructions provided by our staff
4. Pricing and Payment
All prices are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise. Payment terms are as agreed at the time of quotation. Late payments may attract a fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services if payment is outstanding beyond the agreed terms.
5. Limitation of Liability
To the fullest extent permitted by the Australian Consumer Law and applicable legislation:
- Our liability for any loss, damage, cost, or expense arising from or in connection with our services is limited to the total fees paid by you for the specific service giving rise to the claim
- We do not accept liability for indirect, consequential, special, or punitive damages, including loss of business, revenue, profits, or data
- We exclude all liability for personal injury or property damage caused by our negligence to the extent permitted by law
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
6. Intellectual Property
All intellectual property in our website content, service methodologies, documentation, templates, audit reports, and training materials is owned by or licensed to Stericare Pty Ltd. You may not reproduce, distribute, or adapt any of our intellectual property without prior written consent. Any custom documentation or reports produced for you in the course of our services remain our intellectual property, and you are granted a non-exclusive licence to use them for your internal purposes only.
7. Confidentiality
Both parties agree to keep confidential all proprietary and sensitive information exchanged in the course of our engagement. This obligation survives the termination of our services for a period of three years, or longer where required by law or regulation.
8. Termination
Either party may terminate our services by providing written notice. In the event of termination:
- You remain liable for all fees accrued for services provided up to the date of termination
- We will promptly return or destroy any client-confidential information in our possession
- We reserve the right to terminate services immediately if you breach these Terms or fail to pay outstanding amounts
9. Dispute Resolution
Any disputes arising out of or in connection with these Terms will be resolved in accordance with the following process:
- Negotiation - The parties will first attempt to resolve the dispute through informal negotiation
- Mediation - If negotiation is unsuccessful, the parties agree to attempt mediation before the NSW Fair Trading Mediation Service or a comparable dispute resolution service
- Arbitration - If mediation fails, the dispute will be resolved by binding arbitration in accordance with the Arbitration Act 1965 (WA)
10. Governing Law
These Terms are governed by and construed in accordance with the laws of Western Australia. The parties submit to the exclusive jurisdiction of the courts of Western Australia for the resolution of any matters arising out of these Terms.
11. Australian Consumer Law
These Terms are entered into between Stericare Pty Ltd (a Western Australian company) and the client. The Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) applies to these Terms and all services provided. Nothing in these Terms is intended to limit or exclude any rights or remedies available under the Australian Consumer Law that may not be lawfully limited or excluded.
